Terms of Use

1. Who these terms bind

These terms apply to the company that subscribes to NS Logistics TMS ("NSLogi", "we") — the "Customer" — and to every person the Customer lets in: its staff, drivers, owner-operators, and the brokers and shippers who open a link it sends. By signing in or opening such a link you accept these terms. If you act for a company, you confirm you may bind it.

2. The service

NSLogi is a transportation management system: load booking and dispatch, tracking, document capture, invoicing, driver and owner-operator settlements, reporting, and integrations the Customer chooses to connect. Features depend on the Customer's plan. We may add, change or retire features; we give at least 30 days' notice before retiring one a paid plan relies on.

3. Accounts

• Accounts are created by request and provisioned by us or by a Customer administrator. Each account is for one person; do not share sign-ins.
• You are responsible for what happens under your account and for keeping your credentials private. Tell us promptly at support@nslogitms.com if you suspect misuse.
• A Customer administrator controls its users, their roles and what they can see, and can remove them at any time.

4. The Customer's data

Everything a Customer and its users put into NSLogi stays the Customer's. We claim no rights in it beyond what is needed to run the service for that Customer. We keep each Customer's data isolated from every other Customer's, we do not sell it, and we handle personal information as described in the Privacy Policy. The Customer is responsible for having the right to enter the data it enters, including drivers' and partners' information, and for the accuracy of rates, pay rules and invoices it issues from the system.

5. Acceptable use

Do not use NSLogi to break the law, to send unsolicited messages, to probe or overload the service, to access another Customer's data, to copy the software, or to build a competing product from it. Integrations (load boards, telematics, factoring, accounting) use the Customer's own credentials and are subject to those providers' terms. We may suspend access that threatens the service or other Customers, and we will tell the Customer why.

6. Fees and billing

Plans, prices and any usage packs are shown on the pricing page and confirmed at checkout. Subscriptions bill in advance through Stripe, renew automatically, and can be cancelled from the billing page to take effect at the end of the current period. Trials convert to the stated plan unless cancelled. Past-due accounts go read-only after 14 days and may be closed after 60. Prices can change with 30 days' notice; the change applies from the next renewal.

7. Availability, backups and support

We aim for the service to be available around the clock and schedule maintenance outside business hours where possible. Data is backed up daily. Support is by e-mail at support@nslogitms.com during the hours on the support page. NSLogi is a tool for running your business; it does not replace your own records, your accountant, your safety department or your legal advice, and it is not responsible for a load, a payment or a compliance obligation that you or your partners fail to perform.

8. Ending the agreement

A Customer may cancel at any time. We may end a Customer's agreement for unpaid fees, for breach of these terms not cured within 14 days of notice, or on 60 days' notice if we discontinue the service. After the end date the Customer has 90 days to export its data, after which it is deleted as described in the Privacy Policy.

9. Warranties and liability

The service is provided as is. To the extent the law allows, we disclaim implied warranties, we are not liable for indirect, consequential or lost-profit damages, and our total liability to a Customer for any claim in a 12-month period is limited to the fees that Customer paid us in that period. Nothing here limits liability that cannot be limited by law.

10. Everything else

These terms are governed by the laws of the State of Wisconsin, and disputes go to the state or federal courts sitting in Milwaukee County, Wisconsin. If a clause is unenforceable the rest stands. We may update these terms; material changes are announced in the app and by e-mail at least 14 days before they take effect, and continued use after that date is acceptance.
